Terms of Service

1. Acceptance of Terms

By accessing or using any Reloadium application or service (collectively, the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use the Service.

Reloadium is operated by a French company. These Terms are governed by French law and applicable European Union regulations.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement. The Service is not directed to or intended for use by children under the age of 18.

By using the Service, you also represent that you have the legal capacity to enter into a binding agreement.

3. Definitions

Credits

Prepaid service units purchased by users to access AI-powered features within the Service. Credits are not currency, have no cash value, and cannot be exchanged for money or transferred to another user.

Service

The suite of AI-powered web applications developed and operated by Reloadium, including but not limited to Reloadium Notes, Debates, News, Careers, Flashboards, and any other applications published under the Reloadium brand.

Account

A registered user account authenticated via Google Sign-In through Firebase Authentication.

Subscription

A recurring monthly or annual plan that grants a fixed number of Credits each billing period.

Credit Pack

A one-time purchase that adds a fixed number of Credits to your account balance.

4. Credits

Credits are prepaid service units that allow you to use AI-powered features in Reloadium applications. Each AI request consumes a number of Credits based on the estimated computational cost of the underlying AI model call.

• Credits have no cash value and are not redeemable for money under any circumstances.
• Credits are non-transferable and may only be used by the account holder who purchased them.
• Credits expire 12 months after the date of purchase if unused. Subscription Credits granted each billing period expire 12 months after the end of the billing period in which they were granted.
• Credits are consumed at the time of each AI request. Consumption amounts are calculated server-side based on actual model usage and may vary.
• Reloadium reserves the right to adjust Credit costs for AI features with reasonable prior notice. We will not retroactively change the cost of already-completed requests.
• Credits in your account are not protected as financial deposits. Reloadium may suspend or terminate accounts that violate these Terms, resulting in forfeiture of any remaining Credits.

5. Subscriptions and Billing

Subscription plans are billed on a recurring monthly or annual basis through Stripe, our payment processor. All prices displayed are exclusive of applicable taxes. Value-Added Tax (VAT) will be added at checkout where required by law.

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You can manage or cancel your subscription at any time from your account settings.

• Annual subscriptions are billed as a single upfront payment and provide approximately two months of service at no additional charge compared to paying monthly.
• Downgrading your plan takes effect at the start of the next billing period. You retain your current plan's benefits until then.
• Upgrading your plan takes effect immediately. You will be charged the prorated difference for the remainder of the current billing period.
• Failed payments may result in temporary suspension of your account until the outstanding amount is settled.
• All transactions are processed in USD. Your bank or card issuer may apply currency conversion fees.

6. Refund Policy

We want you to be satisfied with the Service. If you are not satisfied, you may request a refund under the following conditions.

• Subscription plans: You may request a prorated refund for unused Credits within 14 days of any subscription payment. Refunds cover only Credits that have not been consumed at the time of the refund request.
• Credit Packs: One-time Credit Pack purchases are eligible for a full refund within 14 days of purchase, provided that no Credits from that pack have been consumed.
• Refunds are not available after 14 days of purchase.
• Refunds are not available for Credits consumed in AI requests, regardless of the outcome of those requests.
• To request a refund, contact us at contact@reloadium.com with your purchase details. Approved refunds are processed within 5-10 business days to the original payment method.
• Reloadium reserves the right to deny refund requests that show patterns of abuse (e.g., repeated purchase-and-refund cycles).

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory.
• Generate content that infringes on the intellectual property rights of any third party.
• Generate or distribute misinformation, disinformation, or content intended to deceive.
• Produce deepfakes or synthetic media designed to harm or impersonate real individuals.
• Develop, train, or fine-tune competing AI models using outputs from the Service.
• Attempt to circumvent credit deduction, authentication, rate limits, or any security control.
• Automate requests to the Service at a rate that exceeds normal human use patterns or that degrades service quality for other users.
• Resell, redistribute, or sublicense access to the Service or its AI capabilities to third parties.
• Use the Service for mass-scale spam generation, phishing, or social engineering attacks.
• Use the Service in violation of any applicable law or regulation.

8. AI-Generated Content

The Service uses AI models (including Google Gemini) to generate content in response to your prompts. You understand and agree that:

AI-generated content may be inaccurate, incomplete, or outdated. You are responsible for verifying any AI-generated information before relying on it for important decisions.

Reloadium does not claim ownership of content you generate using the Service. However, you grant Reloadium a limited, non-exclusive license to process your prompts for the purpose of delivering the Service.

Google's Gemini API Terms apply to AI outputs. On the paid tier, Google does not use your prompts or responses to train AI models. For compliance and privacy, Reloadium operates exclusively on the paid Gemini API tier for production usage.

9. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points include:

We collect your email address, usage logs (AI request metadata), and payment information (processed by Stripe, not stored by Reloadium).

We do not sell your personal data to third parties.

As a French company operating under GDPR, you have rights to access, correct, delete, and export your personal data. Contact contact@reloadium.com to exercise these rights.

10. Intellectual Property

All aspects of the Service — including software, design, branding, and documentation — are the intellectual property of Reloadium and are protected by applicable copyright and trademark laws.

You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent. This does not restrict you from using AI-generated content you create using the Service for your own purposes.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Reloadium does not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. AI-generated content is provided without any guarantee of accuracy, completeness, or fitness for any particular purpose.

Reloadium uses Google's Gemini API to power AI features. If Google modifies, restricts, or terminates the Gemini API, it may affect the availability of the Service. Reloadium is not liable for any disruption caused by changes to third-party services.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Reloadium's total liability to you for any claims arising from your use of the Service shall not exceed the total amount you paid for the Service in the 12 months preceding the event giving rise to the claim.

In no event shall Reloadium be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits Reloadium's liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable French or EU law.

13. Termination

You may delete your account at any time from your account settings. Upon deletion, your remaining Credits are forfeited.

Reloadium may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if continued access poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 4, 11, 12, and 14) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of France. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of France.

If you are a consumer resident in the European Union, you may also have rights under the mandatory consumer protection laws of your country of residence, which are not affected by this choice of law.

15. Changes to These Terms

Reloadium may update these Terms from time to time. We will notify you of material changes by posting a notice on the Service and updating the "Last updated" date at the top of this page.

Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.
