Terms of Service

1. Acceptance of Terms

By accessing or using any Reloadium application or service (collectively, the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use the Service.

Reloadium is operated by a French company. These Terms are governed by French law and applicable European Union regulations.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement. The Service is not directed to or intended for use by children under the age of 18.

By using the Service, you also represent that you have the legal capacity to enter into a binding agreement.

3. Definitions

Credits

Prepaid service units purchased by users to access AI-powered features within the Service. Credits are not currency, have no cash value, and cannot be exchanged for money or transferred to another user, except through tips sent in Reloadium Forums (see Section 9).

Service

The suite of AI-powered web applications developed and operated by Reloadium, including but not limited to Reloadium Notes, Debates, News, Careers, Flashboards, and any other applications published under the Reloadium brand.

Account

A registered user account authenticated via Google Sign-In through Firebase Authentication.

Subscription

A recurring monthly or annual plan that grants a fixed number of Credits each billing period.

Credit Pack

A one-time purchase that adds a fixed number of Credits to your account balance.

4. Credits

Credits are prepaid service units that allow you to use AI-powered features in Reloadium applications. Each AI request consumes a number of Credits based on the estimated computational cost of the underlying AI model call.

• Credits have no cash value and are not redeemable for money under any circumstances.
• Credits are non-transferable and may only be used by the account holder they belong to, with one exception: tips sent in Reloadium Forums (see Section 9) add Credits to the recipient's own balance.
• Credits expire 12 months after the date of purchase if unused. Subscription Credits granted each billing period expire 12 months after the end of the billing period in which they were granted.
• Credits are consumed at the time of each AI request. Consumption amounts are calculated server-side based on actual model usage and may vary.
• Reloadium reserves the right to adjust Credit costs for AI features with reasonable prior notice. We will not retroactively change the cost of already-completed requests.
• Credits in your account are not protected as financial deposits. Reloadium may suspend or terminate accounts that violate these Terms, resulting in forfeiture of any remaining Credits.

5. Subscriptions and Billing

Subscription plans are billed on a recurring monthly or annual basis through Stripe, our payment processor. All prices displayed are exclusive of applicable taxes. Value-Added Tax (VAT) will be added at checkout where required by law.

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You can manage or cancel your subscription at any time from your account settings.

• Annual subscriptions are billed as a single upfront payment and provide approximately two months of service at no additional charge compared to paying monthly.
• Downgrading your plan takes effect at the start of the next billing period. You retain your current plan's benefits until then.
• Upgrading your plan takes effect immediately. You will be charged the prorated difference for the remainder of the current billing period.
• Failed payments may result in temporary suspension of your account until the outstanding amount is settled.
• All transactions are processed in USD. Your bank or card issuer may apply currency conversion fees.

6. Refund Policy

We want you to be satisfied with the Service. If you are not satisfied, you may request a refund under the following conditions.

• Subscription plans: You may request a prorated refund for unused Credits within 14 days of any subscription payment. Refunds cover only Credits that have not been consumed at the time of the refund request.
• Credit Packs: One-time Credit Pack purchases are eligible for a full refund within 14 days of purchase, provided that no Credits from that pack have been consumed.
• Refunds are not available after 14 days of purchase.
• Refunds are not available for Credits consumed in AI requests, regardless of the outcome of those requests.
• Credits you have sent as tips in Reloadium Forums count as consumed and are not refundable.
• To request a refund, contact us at contact@reloadium.com with your purchase details. Approved refunds are processed within 5-10 business days to the original payment method.
• Reloadium reserves the right to deny refund requests that show patterns of abuse (e.g., repeated purchase-and-refund cycles).

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory.
• Generate content that infringes on the intellectual property rights of any third party.
• Generate or distribute misinformation, disinformation, or content intended to deceive.
• Produce deepfakes or synthetic media designed to harm or impersonate real individuals.
• Develop, train, or fine-tune competing AI models using outputs from the Service.
• Attempt to circumvent credit deduction, authentication, rate limits, or any security control.
• Automate requests to the Service at a rate that exceeds normal human use patterns or that degrades service quality for other users.
• Resell, redistribute, or sublicense access to the Service or its AI capabilities to third parties.
• Use the Service for mass-scale spam generation, phishing, or social engineering attacks.
• Use the Service in violation of any applicable law or regulation.

8. AI-Generated Content

The Service uses AI models (including Google Gemini) to generate content in response to your prompts. You understand and agree that:

AI-generated content may be inaccurate, incomplete, or outdated. You are responsible for verifying any AI-generated information before relying on it for important decisions.

Reloadium does not claim ownership of content you generate using the Service. However, you grant Reloadium a limited, non-exclusive license to process your prompts for the purpose of delivering the Service.

Google's Gemini API Terms apply to AI outputs. On the paid tier, Google does not use your prompts or responses to train AI models. For compliance and privacy, Reloadium operates exclusively on the paid Gemini API tier for production usage.

9. Forums, Direct Messages, and User-Generated Content

Reloadium Forums lets you post publicly visible content, exchange direct messages with other users, and send tips to other users using your Credits. This section describes how these features work and your responsibilities when using them.

Posts, comments, and your public profile information (including your nickname, display name, and bio, if set) are visible to other users of the Service and may be indexed by search engines. You are solely responsible for content you post, and it remains subject to the Acceptable Use rules in Section 7.

Content posted by other users is automatically screened by an AI moderation system before it is shown to you or published. This automated moderation is provided on a best-effort basis and does not guarantee that all objectionable content will be filtered, or that legitimate content will never be incorrectly flagged. This is distinct from Section 8, which covers content AI generates in response to your own prompts.

If your post, comment, or edit contains links, the automated moderation described above also fetches the linked pages (up to three per submission) and reviews them against the forum's rules along with your text, so a link cannot be used to publish something that the forum's rules would not allow. This review is part of the moderation check that is charged to you in Credits whether or not your content is approved, and what it cost is shown publicly on approved content. We keep a short AI-written summary of each linked page as it was at the time of the check, together with a hash of the reviewed excerpt (which lets us detect later changes, but is not a copy of the page), and display the summary publicly next to your content, labelled as an AI summary. These summaries are automated and may be incomplete or wrong, describe the page only at that moment, and are not an endorsement. Reloadium does not control the sites you link to and is not responsible for their content, which can change after review.

Direct messages are private between you and the recipient. A recipient may set rules restricting who can message them, and a message that doesn't meet those rules will not be delivered. Reloadium does not read the content of your direct messages except as needed to run the automated moderation described above, to investigate a suspected violation of these Terms, or where required by law.

Tips let you send a portion of your own Credits to another user to show appreciation for their content. Only Credits you have purchased can be tipped. A tip is deducted from your balance and added, in the same amount, to the recipient's Credit balance, where it can be used like any other Credit but cannot be tipped onward, exchanged for money, or refunded. A tip is final: once sent, it cannot be reversed or refunded.

Signed-in accounts can attach up to four images (JPEG, PNG or WebP) to a forum post, a comment or a direct message. You may only upload images that you own or have the right to share, and by uploading one you grant Reloadium a non-exclusive, worldwide licence to store, resize and display it as part of your post or comment, or to deliver it to the recipient of your direct message, for as long as it is published or retained. You must not upload images that show nudity or sexual content, graphic violence, hate symbols, child exploitation, anything illegal, or other people's private information. Every image on a post or comment is reviewed automatically by AI together with your text before it is published, as part of the moderation check that is charged to you in Credits whether or not it is approved. The first message you send to someone is checked in the same way against the recipient's rules, including any images; images you send later in a conversation that is already open are not reviewed in advance. We re-encode each image, which removes embedded metadata such as location. For a post or comment image we keep an AI-written description of what it shows, which is displayed publicly as the image's alternative text. A direct message image is visible only to the sender and the recipient. Automated review can be wrong, and we may hide or remove any image at any time. There is not yet a reporting form: to report an image, or to give notice that an image infringes your rights, write to contact@reloadium.com with the link to the post or comment (or, for a direct message, the details of the conversation) and we will review it. Deleting a post, comment or message also deletes its images. You may also set a profile picture, which is shown publicly next to your name, is cropped to a square, follows the same rules as any other image, is reviewed automatically by AI before it is set (a check that is charged to you in Credits whether or not the picture is approved), and can be removed by you at any time.

Reloadium may remove any posted content and may suspend or terminate accounts that violate these Terms or the Acceptable Use rules, as described in Section 14 (Termination).

10. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points include:

We collect your email address, usage logs (AI request metadata), and payment information (processed by Stripe, not stored by Reloadium).

We do not sell your personal data to third parties.

As a French company operating under GDPR, you have rights to access, correct, delete, and export your personal data. Contact contact@reloadium.com to exercise these rights.

11. Intellectual Property

All aspects of the Service — including software, design, branding, and documentation — are the intellectual property of Reloadium and are protected by applicable copyright and trademark laws.

You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent. This does not restrict you from using AI-generated content you create using the Service for your own purposes.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Reloadium does not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. AI-generated content is provided without any guarantee of accuracy, completeness, or fitness for any particular purpose.

Reloadium uses Google's Gemini API to power AI features. If Google modifies, restricts, or terminates the Gemini API, it may affect the availability of the Service. Reloadium is not liable for any disruption caused by changes to third-party services.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Reloadium's total liability to you for any claims arising from your use of the Service shall not exceed the total amount you paid for the Service in the 12 months preceding the event giving rise to the claim.

In no event shall Reloadium be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits Reloadium's liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable French or EU law.

14. Termination

You may delete your account at any time from your account settings. Upon deletion, your remaining Credits are forfeited.

Reloadium may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if continued access poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 4, 9, 12, 13, and 15) will survive.

15. Governing Law and Disputes

These Terms are governed by the laws of France. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of France.

If you are a consumer resident in the European Union, you may also have rights under the mandatory consumer protection laws of your country of residence, which are not affected by this choice of law.

16. Changes to These Terms

Reloadium may update these Terms from time to time. We will notify you of material changes by posting a notice on the Service and updating the "Last updated" date at the top of this page.

Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.
